1. Acceptance and Overview

These Communication Terms govern all communications to and from Village Capital & Investment LLC and its operating subsidiaries (“Village Capital” or the “Company”).

  • By utilizing our services, you agree to be bound by these Communication Terms, the Village Capital Terms of Use, and our Privacy Policy.
  • If you do not agree to these terms, you must not leverage these services.
  • We utilize various communication channels—including email, text message, chat, telephone, and postal mail—to ensure prompt and convenient service, and with your consent, for marketing.

2. Email and Electronic Communications

While email is an effective communication tool, its brief and informal nature means it may not accurately represent official business records or the final disposition of a matter.

  • Official matters should always be subsequently confirmed in signed writings.
  • Unless explicitly stated otherwise, emails from the Company do not constitute electronic signatures, signed agreements, interest rate locks, unconditional loan commitments, or offers to lend.
  • Do not use email for time-sensitive instructions; messages may be delayed by spam filters or not reviewed immediately by the intended recipient. Urgent matters should be communicated directly via telephone.

3. Confidentiality and Privilege

Communications sent by our Team Members, including attachments, are strictly confidential and intended solely for the designated recipient.

  • By accepting confidential information, you agree to maintain its strict confidentiality, comply with applicable privacy laws, and hold the Company harmless against any claims or losses arising from your unauthorized disclosure.
  • If you receive a communication in error, you must notify the sender immediately, delete the original, and refrain from any unauthorized use or disclosure.
  • Communications involving our Legal Team may contain privileged information, and such privilege is not waived if a communication is received in error.

4. Monitoring and Security

To maintain service quality and ensure compliance, the Company actively manages its communication networks.

  • All incoming and outgoing communications across any channel (including email, text, chat, and voice mail) may be monitored, forwarded, or reviewed by authorized personnel with or without notice.
  • Telephone calls are recorded by us and third-party providers for quality assurance, fraud detection, and complaint resolution; if you do not consent to recording, you must utilize an alternative communication method like email.
  • The Company advises against sending sensitive or personally identifiable information via unencrypted email, as the internet is an open network and absolute security cannot be guaranteed.
  • While we strive to ensure our communications are virus-free, recipients are responsible for ensuring downloaded files or opened communications do not contain viruses. The Company disclaims liability for any virus-related damages or transmission errors.

5. Acceptable Use and Prohibited Conduct

Company communication facilities are strictly reserved for conducting legitimate and lawful business.

  • You may not extract or use our Team Members’ contact information for direct marketing or unauthorized transfers to third parties.
  • Transmitting menacing, discriminatory, defamatory, harassing, or threatening materials is strictly prohibited and unlawful, and violators will be prosecuted.
  • Soliciting our Team Members to breach their employment agreements or interfering with their employment status is strictly forbidden.

6. Text Messaging Terms

Text messaging provides a convenient way to stay updated, but it is subject to carrier constraints and should not be used for time-sensitive instructions.

  • Standard message and data rates may apply to any text messages sent to or from Village Capital.
  • Due to character limits, longer messages may be split into multiple texts (e.g., labeled “1/2” and “2/2”), and you should read them in order.
  • You may opt out of specific text campaigns at any time by replying “STOP,” or request assistance by replying “HELP”.
  • Company mobile messaging is supported by major carriers including AT&T, T-Mobile®, Verizon Wireless, Sprint, Boost, and U.S. Cellular, though carriers are not liable for delayed or undelivered messages.

7. General Disclaimers

  • Negligent Misstatement: The Company disclaims all responsibility for the accuracy, completeness, or reliability of data furnished through communications, including liability based on negligence.
  • IRS Circular 230 Disclosure: Any U.S. federal tax advice provided in communications cannot be used to avoid Internal Revenue Code penalties or to promote transactions to third parties.
  • Public Statements: The only official, publishable public statements that can be attributed to the Company are those issued directly by a Company officer.
